Terms of Service

These Terms govern access to and use of ezenciel. They are written to make the operating model explicit: ezenciel provides best-efforts qualification and workflow support, while the customer remains responsible for its business decisions, approvals, representations, and legal compliance.

Core allocation of responsibility

You control the instructions, approval thresholds, data sources, representations, and downstream use of outputs. ezenciel provides the service on a best-efforts basis and does not assume liability for the acts, claims, promises, or compliance position of your business.

Acceptance and scope

By accessing or using ezenciel, you agree to these Terms of Service. If you use the service on behalf of a company or other entity, you represent that you have authority to bind that entity.

These Terms apply to the website, onboarding flows, communications, deliverables, and services used to identify, qualify, warm, route, or hand over opportunities.

Service model

ezenciel is a managed, agent-operated qualification service. The service may include software agents, automation, human review, communications support, data enrichment, workflow configuration, scoring, and handoff preparation.

The service is designed to improve qualification quality and operating leverage, not to replace the customer's own judgment, management, compliance review, or sales decision-making.

Customer responsibilities

You are responsible for the goals, instructions, targeting rules, approval logic, escalation rules, business claims, sales conduct, and downstream decisions connected to your use of the service.

You are responsible for verifying whether outputs are appropriate before relying on them, sending them, using them in communications, or acting on them commercially.

You are responsible for maintaining lawful permissions, notices, consents, and internal approvals for data, messaging, contact practices, recordings, and market activities that you ask ezenciel to support.

Use of agents and automations

If ezenciel provides or helps configure agents, automation, message drafts, routing logic, or workflows that represent your business, those systems operate under your direction and for your account.

You remain solely responsible for what those agents are instructed to say or do, the claims they communicate, the approvals they bypass or require, the contacts they engage, and the actions taken from their outputs.

ezenciel does not assume responsibility for customer-side misuse, overreach, unauthorized outreach, unlawful claims, regulatory noncompliance, or business losses arising from how a customer deploys, approves, or relies on agent-assisted outputs.

Qualification and no guarantee

ezenciel uses a best-efforts approach to research, qualification, warming, and handoff preparation. Qualification outcomes depend on source quality, customer criteria, market conditions, response behavior, and human follow-through.

We do not guarantee revenue, conversions, meeting volume, sales outcomes, accuracy of third-party data, uninterrupted service, error-free outputs, or that any opportunity will be fit, reachable, compliant, or commercially successful.

A lead, account, or opportunity marked as qualified means only that it matched the criteria or workflow state defined for that service at that time. It is not a warranty of intent, authority, budget, legality, or close probability.

ezenciel does not provide legal, regulatory, tax, employment, privacy, telecom, or other professional advice. Any operational recommendation or workflow suggestion must be reviewed by your own advisors where legal or regulated activity is involved.

Acceptable use

You may not use the service to violate law, infringe rights, misrepresent identity, send unlawful or abusive communications, evade consent rules, process data without authorization, probe or disrupt systems, or deploy the service in ways that create unreasonable risk to third parties.

We may suspend or refuse service where we reasonably believe use is unlawful, abusive, deceptive, unsafe, or inconsistent with these Terms.

Intellectual property

ezenciel retains ownership of the service, site, methods, internal tooling, models, workflows, documentation, and related intellectual property, except for customer materials and rights that cannot be lawfully excluded.

Subject to payment and these Terms, customers may use deliverables internally for their business purposes. Customers may not copy, resell, reverse engineer, or misappropriate the service except as permitted by applicable law.

Disclaimers

To the fullest extent permitted by law, the service is provided on an as is and as available basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

This includes implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and results.

Limitation of liability

To the fullest extent permitted by law, ezenciel and its affiliates, officers, employees, contractors, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of revenue, profit, goodwill, data, business opportunity, or expected savings arising out of or related to the service.

To the fullest extent permitted by law, ezenciel will also not be liable for claims arising from customer instructions, customer data, customer approvals, customer representations, third-party platforms, telecom providers, CRM entries, outreach execution, or customer use of agent-assisted outputs.

If liability is nevertheless imposed despite the exclusions above, ezenciel's aggregate liability for claims arising out of or related to the service will not exceed the amount paid by the customer to ezenciel for the specific service giving rise to the claim during the three months preceding the event giving rise to liability.

Indemnity

You agree to defend, indemnify, and hold harmless ezenciel and its affiliates, officers, employees, contractors, and representatives from claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your data, your instructions, your use of the service, your deployment of agents or workflows, your business representations, or your violation of these Terms or applicable law.

Changes and contact

We may update these Terms from time to time. Continued use of the service after an updated version becomes effective constitutes acceptance of the revised Terms.

Read this carefully

These Terms are drafted to allocate operational risk back to the customer. They are a strong first layer, but they are not a substitute for review by counsel in the jurisdictions where you sell or communicate.
